Delivery
Web-O-Matic will deliver the products and services proposed in the Scope Section. In return, the client agrees to pay Web-O-Matic the amount proposed in the Payments Section. Any work requested by the client that is not included in the Scope, will be additionally charged to the client. A project is considered completed when the client has signed off on the project, made the final payment, or 15 days after the client has received the final product or notification that project has been completed.
Access
Web-O-Matic reserves the right to revoke website administrative access from client in the event that payment terms are not met. This includes the time before a website goes live and after it has gone live.
Process
Project is divided in several phases. Each phase must be completed before work on the next phase may begin. A phase is considered completed when the client approves the work in progress assigned to that phase.
Feedback
Web-O-Matic will deliver the work in progress proposed in the Scope Section to the client for review and approval. The client agrees to provide prompt feedback to the work in progress presented and allow uninterrupted production flow. Absence of a prompt feedback will postpone the estimated completion date and may result in Hold Fees.
Hold Fee
A project will be put on hold if Feedback is not received within 5 business days of the set milestone. Web-O-Matic reserves the right to charge a Hold Fee in any amount up to $500 per hold instance. Client is responsible for communicating delays on feedback, correspondence, approvals, and any other participation required for the project.
Revisions
The client is entitled to revisions on the work as defined in the Scope Section. Additional revisions or any change in the project that is necessary may incur additional costs. These costs will be negotiated and paid under a separate work order agreement.
Errors and Omissions
It is the client’s ultimate responsibility to thoroughly review the work in progress and final product or service before approving it. Web-O-Matic will do its best to identify and eliminate any content-related errors and omissions. However, Web-O-Matic is not responsible should any such error or omission go undetected and become a part of any final deliverables.
Indemnity
The client agrees to indemnify and hold harmless Web-O-Matic from any loss, expense, and damages arising out of violation of copyright or trademark laws from the illegal use of images, photographs, slogans, trademarks, or graphical work supplied by the Client for the project.
Intellectual Property Rights
Web-O-Matic will retain the rights to all parts of intellectual property it has developed. The client will retain the intellectual property right to the products and services provided.
Late Fee
Late fees will be assessed at 5% monthly interest rate for the amount owed. The assessment of the late fees will begin accumulating 15 days after the date on the invoice.
Refunds
Certain items cannot be returned or refunded due to their nature. These items include, but are not limited to: Stock photography, music, web hosting, domain names, statistical packages and software, etc.
Search Engine
Web-O-Matic has no control over ranking and does not guarantee a presence of any developed or hosted website on any search engine.
Business Catalyst
Web-O-Matic is an authorized re-seller/partner of the Adobe Business Catalyst software. Web-O-Matic is not responsible but not limited to any system outages, downtime, bugs, and or errors.
Corrections
Web-O-Matic will correct technical issues related to code and functionality of electronic media components that result from Web-O-Matic oversight within 15 days of project completion.
